While the fight has still to be confirmed, former lightweight champion Diaz says his side of the contract is signed and he cannot wait to face the former world champion.
"There are a lot weaknesses," Diaz told the Sun. "He can't take a punch and when he gets overwhelmed he tends to panic too much.
"I aim to make it a brawl. I won't be too technical or too pretty but it will be a real fight."
Team Khan have been searching for a suitable opponent for the first of two fights in 2013, but Ricky Hatton's conqueror Vyasheslav Senchenko and Josesito Lopez both refused owing to weight issues.
Diaz has also been operating at welterweight but has agreed to a catchweight of 143lbs for the chance to fight Khan.
"I've been knocking on doors a long time and Khan is the fighter letting me in," added the California-based Mexican, whose ledger stands at 40 wins, seven losses and a draw.
Manchester Arena and Sheffield's Motorpoint Arena are in the running to host the contest, while Golden Boy Promotions are likely to hand a professional debut to Olympian Anthony Ogogo on the undercard.
