Having dismissed the injury-hit champions for 128, half-centuries by Gary Ballance and Adil Rashid helped the visitors to 318-7 at the close of play.
Tim Bresnan's arrival from Lord's added to the Yorkshire feelgood factor. He began the day with his release from the England squad and finished it with 38 in a stand of 75 with Rashid, who followed his century against Somerset by making a fluent 68 not out.
Earlier, the Tykes put on 77 for their opening wicket before Boyd Rankin (3- 69) claimed the wickets of openers Adam Lyth and Joe Sayers in successive overs.
Lyth (43) cut Rankin's second ball to point where Tim Mines atoned for an earlier drop and the less expansive Sayers (24) was caught behind after hitting only two fours in two and a quarter hours.
Jeetan Patel's persistent spin bowling then kept Warwickshire in the game and secured a return of 3-37 in 20 overs.
Phil Jaques (25) edged the first ball of the New Zealander's second spell to wicketkeeper Tim Ambrose and Andrew Gale (40) was a victim of Rikki Clarke's sharp reaction in holding a chance low to his left at second slip.
After a quiet start, Balance put on 78 with Rashid before becoming a third victim for Patel when on 52.
Andrew Hodd fell lbw for nine in Chris Woakes' first over with the new ball before Bresnan was out in the penultimate cover, caught down the leg-side off Rankin, but the Tykes were still well in control.
