The Italian midfielder was slapped on the transfer list last month by The Blues and has regularly been touted for a transfer to Giuseppe Meazza.
Dalla Bona has long coveted the chance to join the Rossoneri and he is on the brink of witnessing his wish fulfilled.
"I will play with Milan," said Dalla Bona. "The dream comes true and I will go into their squad."
Milan are expected to fax their offer to Stamford Bridge on Monday and if it is accepted, a transfer could be swiftly wrapped up.
The Serie A outfit had earlier been keen on a part-exchange deal with Ibrahim Ba and Cosmin Contra among the names proferred to be included in a swap.
Though Chelsea have stated they are only prepared to offload Dalla Bona in a straight cash deal, they are believed to be interested in the possibility of co-ownership of Milan's midfield starlet Marco Donadel.
The 19-year-old has yet to make the breakthrough in Serie A, with one league, and a single Uefa Cup, appearance to his name.
Milan vice-president Adriano Galliani confirmed a transfer was on the horizon, with Donadel heading in the opposite direction.
Galliani said: "Dalla Bona is close to being acquired as from the Milan end, it is complete in every unit.
"The exchange will also send Donadel to Chelsea and the operation is almost complete."
