The 38-year-old left Prmiership champions Arsenal last summer and is available on a free transfer.
Pompey boss Harry Redknapp made no secret of his desire to take to the experienced stopper to Fratton Park, but Mandaric voiced concerns over his age.
The supremo wanted to bring in a younger player and targeted Hertha Berlin's Croatia international Josip Simunic.
However, the German outfit are stalling over talks and it seems Pompey's efforts to land Simunic are doomed to failure - leading Mandaric to relax his stance over Keown.
"It's difficult with Simunic because Hertha Berlin are looking seriously at what they want," declared Mandaric.
"It's a problem getting any type of price from them, and they won't let him go on loan. So we might have to postpone that.
"We are looking at possibly a younger defender, but no-one can take away from martin Keown what he has done in football."
