The 20-year-old Teessider spent a successful spell on loan at Loftus Road earlier this season before injuries at The Riverside forced him to return to the North East.
QPR had a bid rejected on Monday, but now they have returned and agreed terms with Boro for the highly-rated stopper.
"This is wonderful news," said chief executive Mark Devlin.
"I am extremely grateful to a number of our shareholders who have supplied the funds that enables us to buy a player of this calibre.
"Should all go to plan, this will be an exciting and important signing for the club and is part of the process of taking QPR to the next level.
"Andrew impressed everyone during his loan spell here and hopefully he will enjoy a successful career with us all at Loftus Road."
With Gareth Soutghate, Ugo Ehiogu, Chris Riggott and Colin Cooper ahead of him in the pecking order, Boro boss Steve McClaren has decided Boro can cope without Davies - who has previously impressed when given his chance in the first team.
