The 20-year-old has attracted the interest of clubs in both Scotland and England this summer, with Scottish Premier League side Aberdeen failing with their bids for the young hit-man.
Miller had submitted a transfer request to The Bairns for a move south to an English club, with The Robins and Division One new boys Wigan Athletic leading the chase for him.
The striker visited Ashton Gate earlier this week to discuss a move with the West Country club and, despite receiving interest from The Latics, Miller is expected to finalise personal terms and have a medical on Friday with Danny Wilson's side.
Robins chief executive Colin Sexstone believes there will be no hitches to the deal and that Miller will be a Bristol City player by the weekend.
"The fee was agreed early this morning," Sexstone told the club's official website.
"It is a massive outlay for us in the current financial climate, but one we feel will prove an investment and strengthen our chances of reaching the First Division.
"The deal will be worth in excess of £300,000 to Falkirk, paid in various stages, if all the landmark figures in terms of appearances are met.
"We don't anticipate any problem agreeing personal terms with Lee so, subject to him passing the medical, everything is done."
