Gray is being lined up for a £1 million-plus move to The Stadium of Light with talks being held between the two clubs.
The 27-year-old was The Blades' top scorer last season and started the new campaign in the same vein by netting in the 4-1 victory over Leicester City on Saturday.
That could prove to be Gray's last goal for the Championship club and Warnock is upset he is losing the striker.
"It's disappointing at such a late stage but life goes on," Warnock told the Yorkshire Post.
Gray moved to Bramall Lane in February 2004 from Bradford City and has established himself as Warnock's first-choice striker.
The Scotland cap's impending departure from South Yorkshire is likely to persuade Warnock to head back into the transfer market for a replacement.
For Warnock's opposite number Mick McCarthy, the capture of Gray will end a summer-long pursuit for fresh firepower.
McCarthy had been chasing Derby County ace Grzegorz Rasiak but has now stepped up a long-term interest in Gray.
