The French striker is understood to be keen to quit Vicarage Road in order to play in the Premier League again next season.
Birmingham City, Bolton Wanderers, Fulham and Sunderland are all reported to be keeping an eye on Bouazza's situation.
But Boothroyd, who saw Ashley Young leave the club in a £9.65million transfer to Aston Villa in January, is reluctant to lose another young player.
The Watford manager feels that it would take another substantial bid for him to consider selling Bouazza, who scored five times in 32 Premier League appearances last season.
"I am aware there have been stories in the press about Hameur Bouazza," Boothroyd told the club's official website.
"I do not want to lose any of my players, and there is a time to take a firm stance and there is a time to take an objective view.
"So unless we receive an incredible transfer fee he will not be going anywhere.
"Just like the Ashley Young situation where I did not want to lose him, but the fee was just too beneficial to turn down."
