Henderson will link up with The Foxes on a free transfer in the summer after rejecting the chance to stay at Bradford City.
The shot-stopper only moved to Valley Parade from Northern Spirit on a 12-month deal last year and quickly established himself as the club's first choice.
But the 29-year-old snubbed a three-year contract with The Bantams in an attempt to secure a move to a club higher up the ladder.
He trained with Leicester at the start of this month and he impressed sufficiently to warrant a two-year deal at The Walkers Stadium, where he will link up with compatriots Patrick Kisnorbo and Danny Tiatto.
Foxes boss Craig Levein confirmed Henderson has accepted the club's offer, with only the formality of a medical to be completed.
Levein told the club's official website: "We have agreed personal terms with Paul and he will undergo a medical once he returns from Australia next month."
