Valiants boss Martin Foyle has swooped for the 25-year-old front-man to bolster his attack for next term in Division Two.
Matthews spent three years as Ashton Gate but struggled with injuries in the last couple of years.
However, Foyle believes he is now over his problems and can kick-start his career in the Potteries.
"Lee is a big lad who can play down the channels," Foyle told the club website.
"He has had injuries but he is over them now and he will want to show us what he can do."
The Robins, meanwhile, are looking to bolster their squad for yet another promotion push after their bitterly disappointing play-off final defeat against Brighton at Cardiff.
New player-boss Brian Tinnion has targeted a striker as one of his priorities but City chairman Steve Lansdown has denied they have targeted Swindon's Tommy Mooney.
"We have a number of names we are looking at and have stated that a proven goalscorer would be on that list," Lansdown told the club's website.
"Mooney's name has probably been mentioned in some areas because of his goalscoring record but we have made no approach to either him or his agent."
