The 23-year-old had been linked with moves to Bolton Wanderers and Norwich City, but the custodian has opted to extend his future at Spotland.
The news has delighted Dale boss Steve Parkin, who believes Gilks can only improve as a keeper with the League Two outfit.
"I spoke to Matt on Thursday and I was delighted when he informed me he was willing to stay and sign a new contract at the club," Parkin told the club's official website.
"Matt was an influential player in our team last season and I feel he can only get better and better.
"There was a lot of speculation about him interesting other clubs, but we've work hard to keep him at Rochdale and it looks like this effort has paid off."
