The 22-year-old, whose current deal expires at the end of the season, turned down a two-and-a-half-year deal on improved terms with The Magpies.
Despite turning down the club's latest offer, Meadow Lane boss Gary Mills is still hopeful he can reach an agreement with the club's top scorer.
"We all desperately want Paul Heffernan to stay at Notts County," Mills told the club's official website.
"We made him an offer that we all felt was very good, which he has turned down.
"I hope we can still secure his signature very soon."
There was better news for Mills as three other players signed new deals with the club on Friday.
Youngster Shane McFaul and Emmet Friars have professional deals until June 2006, while midfielder Frazer McHugh has extended his contract with The Magpies for another month.
