Sporting Lisbon allowed Douala to join Portsmouth on loan last season and are now understood to be ready to let him leave permanently.
The Cameroonian forward is expected to take his medical at St Etienne on Friday and finalise a two-year deal over the weekend.
Nivaldo is to join from Portuguese side Belenenses after signing a three-year deal, and will replace Nice-bound veteran Vincent Hognon.
The centre-back, who cost St Etienne ?3million (£2million), played more minutes for Belenenses than anyone else last season.
"I am travelling to France to play for St Etienne," Nivaldo confirmed to Terra Brazil.
Pascal Feindouno, meanwhile, is in talks with St Etienne about a contract extension.
The Guinea international has been linked with a number of different clubs, including Birmingham, but could be set to stay with St Etienne.
St Etienne will be especially determined to keep Feindouno as reports suggest fellow striker Bafetimbi Gomis could be on his way to Sevilla.
According to France Football, Sevilla have set their sights on Gomis as a possible replacement for Fredi Kanoute in case he secures a move to England.
