Ajax were heavily favoured in the tie, and looked to be on course to go through after Ryan Babel had cancelled out Bonaventure Kalou's opener.
However, Benoit Cheyrou put Auxerre back level on aggregate terms and Lionel Mathis made himself a hero with a crucial strike four minutes from time.
Kalou had nodded home from a free-kick to put Auxerre ahead in front of their home fans, but Babel levelled when he stylishly coverted Hatem Trabelsi's pull-back.
Benoit Cheyrou then got a second for Auxerre when he was given two chances, and slammed home.
But with the prospect of an away goals defeat looming large, the French side knocked out one of the biggest sides in the competition, when a corner from the right found Mathis at the near post and he headed home.
