The eccentric striker was sacked by the Schwarz-Gelben in March after refusing to return to Germany for treatment on his injured knee.
However, he has so far failed to find another club despite being linked with both Fulham and Celtic.
He has trained with Martin O'Neill's Scottish champions but The Bhoys have not yet made him an offer.
Meier now says that Dortmund would be willing to give him another chance, but only if certain conditions are agreed.
"We are prepared to give him another contract at Borussia Dortmund," said Meier.
"But he must show that he is prepared to follow certain club guidelines.
"Firstly, he must stop working with his agent. Secondly, he must prove that he's 100 percent fit. Thirdly, he must accept a performance-related deal."
Meier admitted that an agreement could only be made with the 29-year-old former Parma star if the rest of the first team squad agree.
Amoroso's behaviour over the past seasons had not made him the most popular player at the club and they do not want to rock the boat.
"If the players are prepared to put their reservations aside, I will start talking with him," Meier added.
