A shock looked on the cards after 20 minutes, as Veendam were 2-0 up due to goals from Marnix Kolder and Erwin Buurmeijer.
However, Willem II drew level thanks to goals either side of half time from James Quinn and Tom Caluwe.
Quinn put Willem II ahead 20 minutes from time and a Martijn Reuser strike moments later handed them a cushion.
Veendam refused to give up and Buurmeijer reduced the arrears five minutes from time, only for Reuser to grab his second of the match on 88 minutes.
Kolder ensured there was a grandstand finish when netting his second in injury time, but Willem II held out to book their place in the next round.
RKC Waalwijk needed a last minute equaliser from Rick Hoogendorp and penalties to see off Feyenoord Youth.
Feyenoord had taken an early lead through Eby Smolarek, but Hoogendorp dashed their hopes of a shock and they were beaten 4-3 on penalties.
Second half efforts from Blaise N'Kufo and Kim Christensen were enough for Twente to see off the challenge of NEC Nijmegen, while NAC Breda battled to a 3-0 win over amateur side ADO'20. Mike Zonneveld put NAC ahead and the win was sealed when Arne Slot and Anthony Lurling netted late on.
Charlie van den Ouweland's fine free kick on 33 minutes handed Den Bosch a 1-0 win over Vitesse Arnhem who had Theo Janssen sent off late on.
