The attacking midfielder, 24, has produced a series of impressive performances in his first season in the SPL, having joined Inverness on a one-year deal last summer.
He was due to become a free agent at the end of the campaign and had attracted interest from elsewhere, but he has now given Caley Thistle a major boost by putting pen to paper on a contract that will keep him at the club until May 2016.
Manager John Hughes said is thrilled to have secured Vincent's services, telling Inverness' official website: "I'm really delighted that James Vincent has put pen to paper and committed his future to us.
"That's just the kind of good news we enjoy as we prepare for a hectic league programme in advance of facing Aberdeen in the final at Celtic Park.
"James is the type of player whose best has yet to come and we now look forward to him flourishing with us. It's another strong signal of the togetherness of our squad."
Club chairman Kenny Cameron added: "James weighed up his options - and he certainly had options - and has decided to stay at Caley Thistle. We have secured his services without overextending our football budget.
"It speaks volumes for the attitude of James, who is enjoying playing and training under John Hughes."
