The 34-year-old scored 144 from 203 balls, an innings featuring 15 boundaries, after Derbyshire opted to bat, before he was bowled by Henry Brookes (4-64) having been hit on the head by the teenage seamer on 82.
Warwickshire - who confirmed on Thursday that batsman Jonathan Trott will retire at the end of the season - closed on 32-1 from 12 overs, with Dom Sibley (6) caught one-handed by Matt Critchley off Duanne Olivier.
Madsen, dropped on 13 and 87, shared an 84-run stand with Gary Wilson (34) after Derbyshire had slipped to 84-4 and then combined for useful partnerships with Critchley (30) and No 10 batsman Olivier (40no).
Brookes bagged the final three wickets to fall - including last man Mark Footitt (0), who is making his second debut for Derbyshire having signed on an initial 28-day loan from Division One side Nottinghamshire - while Warwickshire skipper Jeetan Patel claimed 4-94 with his off-spin.
Warwickshire and Derbyshire have recorded a win and a draw apiece in their opening two matches, with the Bears one point ahead of their visitors at the top of the table due to an extra batting bonus point.
Warwickshire - looking for an immediate return to the top flight following last term's relegation - drew against Sussex and beat Northamptonshire, with Derbyshire defeating Middlesex before drawing at Leicestershire.
