GL Events already own a majority stake in ProD2 club Lyon - and the takeover off their troubled Top 14 neighbours was seen a the first step towards a full merger.
However hopes of a major financial injection for last season's European Challenge Cup runners-up have been dashed after GL Events opted out.
That has placed a cloud over Bougoin's future, with the club already enduring a nightmare start to the season.
The club were forced to field a second string side against Clermont - with 14 players having their licenses suspended by the league's financial watchdog, who were concerned over the club's financial plight.
