The wily Scot was labelled `cocky` himself, by the Dutch, after he chose to rest Ryan Giggs, David Beckham, Andy Cole and Teddy Sheringham for the 3-1 defeat at the Philips Stadion.
However, Ferguson has hit back, saying: "It`s strange for a country like Holland to call us arrogant. You are not short of it yourself.
"I think the Dutch have an arrogance in their football, that`s well documented by many people, although sometimes it has done you good."
Ferguson also turned on the tactics of PSV in the first game, saying: "We were a bit disappointed by some of the diving that was going on all over the place.
"One thing it has done is ensure the players will be up for this match. I can sense they are ready for it."
Ferguson is certain not to underestimate PSV for a second time and he has a full strength squad to call upon, bar his giant Dutch stopper Jaap Stam - who is still sidelined by an Achilles injury.
The Red Devils are almost certain to recall Giggs, Beckham, Cole and Sheringham, despite their being earlier doubts over Cole.
The England marksman did not turn out against Leicester at the weekend, being replaced by Dwight Yorke and, despite Ferguson having a selection dilemma, it is likely that Cole will make the starting 11.
However, Sir Alex had a positive word for Yorke, saying: "Dwight did really well on Saturday, and all he needs is that one goal."
Ferguson did reveal that there would be changes from the victory over the Foxes, commenting: "I'll have to tell a couple of players who did well at Leicester that they won't be playing, and that's always hard."
One player hoping to make the team is Eire star Denis Irwin, who will make his 50th appearance in the European Cup.
The 34-year-old is certain that the Dutch will prove to be tough opponents, saying: "They're very strong, and they have plenty of pace about them so it won't be an easy game.
"We've got a chance now to avenge that defeat. We're at home, Old Trafford's a big pitch, and we'll have to make use of that and pass the ball around.
"If we play anywhere near our capabilities tonight, it will still be a close game, but hopefully we'll shade it. If we do win, I think we'll be in the driving seat again."
Meanwhile, PSV boss Erik Gerets` only worry is Wilfred Bouma, who is likely to be replaced by Adil Ramzi.
Gerets is not worried by the likely intimidating atmosphere that his side will face at Old Trafford, adding: "We are up for this. If you had seen our last game (a 0-0 draw against NEC Nijmegen) you would think I was crazy.
"But our players are coming here believing they can draw at least and, if United are not 100 percent, they can win the game."
