The 37-year-old rejected the chance to join Chelsea earlier this month, in order to fight for his Elland Road future.
However, with first-team opportunities limited at the Yorkshire outfit, due to Paul Robinson's form, Martyn could rethink his future.
The interested party is as yet unnamed, however Reid believes it is a chance the experienced keeper could find hard to resist.
Everton have been linked with the Cornishman, and following Paul Gerrard's three-month loan deal to Sheffield United, The Toffees could step up their interest.
"Nigel has been a fantastic professional here, and the first thing I said I would do was let him know of any interest," said Reid to the club's official website.
"He turned Chelsea down, which I was very pleased with, but this new offer may be in his interests."
Meanwhile, The Whites have released Australian international midfielder Paul Okon, in order for him to seal a move to Serie B side Vicenza.
The former Middlesbrough and Fiorentina man was brought to the club by former manager Terry Venables, but fell out of favour under Reid.
Leeds are desperate to trim their wage bill, and with Okon unlikely to see any first-team football in the near future, all parties felt it was best to part ways.
